These Terms and Conditions (“Terms”) govern your purchase and use of MadWeb Digital Agency’s Website Subscription service (“Service”). By subscribing to the Service, you agree to be bound by these Terms.

1. Subscription Overview

1.1 Service Description:
MadWeb provides professional website design, hosting, and ongoing support for local businesses through a subscription model. The Service includes:

Up to 5 custom-designed pages, including one dynamic database-powered page.

Unlimited updates and email support for included pages.

Hosting, onsite SEO optimization, and a lead tracking dashboard.

1.2 One-Time Setup Fee: $599 (inclusive of the initial design, setup, and launch of the website).

1.3 Ongoing Subscription Fee: $99 per month (covers hosting, unlimited support, and updates to included pages).

2. Payment and Subscription Terms

2.1 The subscription begins upon payment of the one-time setup fee and ongoing monthly fees.

2.2 Payment of the monthly subscription fee is due in advance. Failure to pay the ongoing fee may result in suspension or termination of your website access.

2.3 If your subscription is cancelled or terminated for any reason, you will no longer retain access to the website or associated content, including hosting, updates, and lead data.

 

3. Website Content and Functionality

3.1 Standard Website Functionality:

Up to 5 custom-designed pages.

One dynamic page (database-powered) for service or product listings.

One functional contact form.

3.2 Additional Pages or Functionality:

Additional pages beyond the included 5 will incur extra fees, quoted and approved prior to work.

Custom functionality beyond the standard offering (e.g., custom booking systems, lead/client onboarding automation, or additional databases) will incur additional fees, quoted and approved before implementation.

3.3 Content Responsibility:
You are responsible for providing all necessary content, images, and information required for your website. MadWeb reserves the right to decline content that is illegal, offensive, or violates any laws.

 

4. Unlimited Updates and Support

4.1 “Unlimited” updates and support apply only to the included pages and standard website functionality.

4.2 Updates and support requests must be reasonable in scope. MadWeb reserves the right to determine what constitutes reasonable usage. Excessive requests may incur additional charges.

5. Hosting, SEO, and Data

5.1 Hosting and onsite SEO optimization are included as part of the monthly subscription.

5.2 You retain ownership of all leads captured via your website forms. You are responsible for exporting and managing your lead data.

 

6. Intellectual Property

6.1 All designs, code, and content created by MadWeb remain the intellectual property of MadWeb until the subscription fees are fully paid and maintained.

6.2 You may not reproduce, sell, or distribute any part of the website outside the agreed subscription.

 

7. Termination

7.1 MadWeb may suspend or terminate your subscription if:

You fail to pay subscription fees.

You use the Service in violation of these Terms.

Your usage is deemed unreasonable or abusive.

7.2 Upon termination, your access to the website, updates, and support will cease.

 

8. Limitation of Liability

8.1 MadWeb will not be liable for any indirect, incidental, or consequential damages arising from your use of the Service.

8.2 MadWeb makes no guarantees regarding website performance, lead generation, or search engine ranking.

 

9. Amendments

9.1 MadWeb reserves the right to amend these Terms at any time. Updated Terms will be communicated via email or posted on the MadWeb website. Continued use of the Service constitutes acceptance of the updated Terms.

 

10. Governing Law

10.1 These Terms are governed by the laws of New South Wales, Australia. Any disputes must be resolved under the jurisdiction of New South Wales, Australia.
